The Services are intended for general business and website operational purposes. Your submissions
Feedback and Suggestions: If you voluntarily provide Nova Ridge Studios LLC with suggestions, ideas, recommendations, or other feedback specifically concerning our Services ("Feedback"), you grant Nova Ridge Studios LLC a non-exclusive, perpetual, worldwide, royalty-free right to use, reproduce, adapt, and incorporate such Feedback for lawful business purposes without compensation or acknowledgment, unless otherwise agreed in writing. This provision does not apply to Client Materials or confidential business information.
Client Materials and Ownership: Any logos, trademarks, photographs, written content, graphics, branding assets, business information, or other materials provided by a client for a website design, development, or related project ("Client Materials") remain the property of the client or their respective rights holders. Providing these materials to Nova Ridge Studios LLC does not transfer ownership of them to the Company. Nova Ridge Studios LLC may use Client Materials only as reasonably necessary to perform the requested services, consistent with Section 8 of these Legal Terms and any applicable written project agreement.
Rights and Permissions: By providing Client Materials, you represent that you own the materials or have obtained the necessary licenses, permissions, and authorizations for Nova Ridge Studios LLC to use them in connection with the agreed services. You agree not to submit materials that violate applicable law or infringe upon the intellectual property, privacy, publicity, or other rights of third parties.
Confidentiality: Client Materials and confidential business information provided in connection with a project will not automatically be considered public or non-confidential merely because they have been submitted to Nova Ridge Studios LLC. Any applicable confidentiality obligations will be governed by the relevant written project agreement and applicable law. Nothing in this subsection grants Nova Ridge Studios LLC unrestricted rights to publish or disclose confidential client information.
Separate Project Deliverables: Ownership, licensing, transfer, and delivery of completed website projects and other deliverables are governed by the applicable written project agreement and relevant provisions of these Legal Terms, including Section 27 concerning final payment and Framer project transfers.
3. USER REPRESENTATIONS
By using the Services, you represent and warrant that: (1) you have the legal capacity and authority to enter into and agree to comply with these Legal Terms; (2) if you are accessing or using the Services on behalf of a company, organization, or other legal entity, you have the full legal power and authority to bind that entity to these Legal Terms; (3) you are at least 18 years old; (4) you will not use automated or non-human means (such as bots, scripts, or scrapers) in a manner that disrupts, overloads, compromises, or gains unauthorized access to the Services; (5) you will not use the Services for any illegal, fraudulent, or unauthorized purpose; and (6) your use of the Services will not violate any applicable law or regulation.
If you provide any information that is untrue, inaccurate, not current, or incomplete, Nova Ridge Studios LLC has the right, subject to applicable law, to refuse or restrict your access to the public website, reject fraudulent inquiries, or decline future services. The cancellation or termination of any active, paid client website design or development project remains governed by the applicable written project agreement, invoice terms, and the payment, deposit, and refund provisions set forth in Section 4, Section 5, Section 11, and Section 27 of these Legal Terms.
4. PURCHASES AND PAYMENT
Nova Ridge Studios LLC provides website design, web development, and related digital services. Pricing for these services is determined by the scope and requirements of each project and will be communicated to the client before work begins.
Payment Processing: Nova Ridge Studios LLC uses Stripe, Inc. as its primary third-party payment processor. Clients may receive payment links or invoices directly from Nova Ridge Studios LLC, including through email. Available payment methods are determined by the options presented during Stripe checkout.
Project Pricing and Payment Terms: Unless otherwise agreed in writing, website design and development projects require an initial deposit equal to fifty percent (50%) of the agreed project price before work begins. The remaining fifty percent (50%) is payable following completion of the agreed project scope and the client's opportunity to review the completed website and request applicable in-scope corrections, as further described in Section 27.
Payment Currency and Applicable Taxes: Nova Ridge Studios LLC serves clients in the United States and Canada. Payments may be invoiced and processed in United States dollars (USD) or Canadian dollars (CAD), as specified in the applicable project proposal, invoice, or written agreement. The currency and total amount payable will be communicated to the client before payment is required. Any applicable taxes will be calculated and charged as required by law.
Additional Services: Any additional work outside the originally agreed project scope may require separate payment. The scope and pricing of additional services will be communicated to and approved by the client in writing before such work begins.
Failed or Disputed Payments: Nova Ridge Studios LLC reserves the right, subject to applicable law and any written agreement, to pause work or withhold unpaid deliverables when required payments have not been successfully received or a payment dispute remains unresolved.
Additional terms concerning deposits, final payment, Framer project transfers, and client responsibilities are provided in Section 27 of these Terms and Conditions.
5. REFUNDS AND CANCELLATIONS
Initial Project Deposits: Unless otherwise agreed in writing, Nova Ridge Studios LLC requires an initial deposit equal to fifty percent (50%) of the agreed project price before website design or development work begins. This deposit is non-refundable, except where otherwise required by applicable law or expressly agreed in writing.
Client Cancellations: Clients may request cancellation of a project at any time by contacting Nova Ridge Studios LLC in writing at contact@novaridgeweb.com. Cancellation does not automatically entitle the client to a refund of the initial project deposit. Any additional amounts owed or refundable following cancellation will be determined by the applicable written project agreement, the work completed, and applicable law. Nova Ridge Studios LLC will communicate any remaining payment obligations or applicable refunds to the client.
Final Payments: The remaining fifty percent (50%) of the agreed project price becomes payable following completion of the agreed project scope and the client's opportunity to review the completed website and request applicable in-scope corrections, as further described in Section 27. Once the final payment has been made, it is non-refundable except where otherwise required by applicable law or expressly agreed in writing.
Project Issues and Corrections: Clients who believe that completed work does not conform to the agreed project scope should notify Nova Ridge Studios LLC before final approval and payment. Nova Ridge Studios LLC will make reasonable efforts to address material omissions or incomplete items within the agreed project scope, consistent with Section 27. Requests for additional features, pages, redesigns, or other work outside the agreed scope may require separate fees.
Company-Initiated Cancellations: If Nova Ridge Studios LLC cancels a project before completion, any applicable refund or outstanding payment obligation will be determined based on the circumstances of the cancellation, the work completed, the applicable written agreement, and applicable law. Nova Ridge Studios LLC will communicate the outcome to the client in writing.
Applicable Law: Nothing in this policy limits or excludes any refund rights, remedies, or consumer protections that cannot legally be waived under applicable law.
Additional project payment, completion, and delivery terms are provided in Section 27 of these Terms and Conditions.

This provision does not apply to Client Materials or confidential business information.
9. SERVICES MANAGEMENT
We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Legal Terms, including without limitation, reporting such user to law enforcement authorities; (3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any harmful or unauthorized submission; (4) in our sole discretion and without limitation, notice, or liability, remove from our systems or otherwise disable any files and content that are excessive in size or are in any way burdensome to our infrastructure; and (5) otherwise manage the public Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services. Nothing in this Section 9 grants Nova Ridge Studios LLC the right to alter or remove client-owned project materials from a transferred website project except as provided in Section 27 or an applicable written project agreement.
10. PRIVACY POLICY
We care about data privacy and security. Please review our Privacy Policy: https://novaridgeweb.com/privacy-policy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. Depending on the location of our service providers and their operations, personal information collected through the Services may be processed or stored in the United States or other countries. Our collection, use, disclosure, and international transfer of personal information are described in our Privacy Policy and are subject to applicable data protection laws.
11. TERM AND TERMINATION
These Legal Terms shall remain in full force and effect while you access or use the public Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, NOVA RIDGE STUDIOS LLC RESERVES THE RIGHT TO, IN OUR SOLE DISCRETION AND SUBJECT TO APPLICABLE LAW, DENY ACCESS TO AND USE OF THE PUBLIC SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES) TO ANY PERSON FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE LEGAL TERMS OR OF ANY APPLICABLE LAW OR REGULATION.
Nova Ridge Studios LLC reserves the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive remedies, against anyone who violates the security, integrity, or intended use of the Services.
Cancellation, suspension, or termination of active, paid client design or web development projects shall be governed by the applicable written project agreement, invoice terms, and the payment, deposit, and refund provisions set forth in Section 4, Section 5, and Section 27 of these Legal Terms.
12. MODIFICATIONS AND INTERRUPTIONS
We reserve the right to change, modify, or remove the contents of the public Services at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Services. This provision does not authorize Nova Ridge Studios LLC to unilaterally modify the scope, pricing, or terms of a separate written project agreement executed with a client.
We cannot guarantee the public Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the public Services at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the public Services during any downtime or discontinuance of the Services. Nothing in these Legal Terms will be construed to obligate us to maintain and support the public Services or to supply any corrections, updates, or releases in connection therewith, except as expressly provided in a written project agreement.
13. GOVERNING LAW
These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Illinois applicable to agreements made and to be performed within the State of Illinois, without regard to its conflict of law principles, subject to any non-waivable statutory rights applicable to clients in other jurisdictions.
14. DISPUTE RESOLUTION
Informal Negotiations
To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms (each a "Dispute" and collectively, the "Disputes") brought by either you or us (individually, a "Party" and collectively, the "Parties"), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party. Where the same dispute is subject to the cure period in Section 23, the informal negotiation period and cure period shall run concurrently, and completion of the informal negotiation period does not shorten any applicable Cure Period under Section 23.
Binding Arbitration
If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA’s Consumer Arbitration Rules ("AAA Consumer Rules"), both of which are available at the American Arbitration Association (AAA) website. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA rules and, where appropriate, limited by the AAA Consumer Rules. If such costs are determined by the arbitrator to be excessive, we will pay all arbitration fees and expenses. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in Illinois, United States. Except as otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.
If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the state and federal courts located in Illinois, United States, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction, and forum non conveniens with respect to venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Legal Terms.
In no event shall any Dispute brought by either Party related in any way to the Services be commenced more than one (1) year after the cause of action arose, except where a longer limitation period is required by applicable law. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.
Restrictions
The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
Exceptions to Informal Negotiations and Arbitration
The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for emergency injunctive relief.
15. CORRECTIONS
There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the public Services at any time, without prior notice. Updating public website information does not automatically alter the agreed terms, scope, or pricing of an existing written project agreement.
16. DISCLAIMER
THE PUBLIC SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT OR THE CONTENT OF ANY WEBSITES OR MOBILE APPLICATIONS LINKED TO THE SERVICES AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS, (2) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES, (3) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (4) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES, (5) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY, AND/OR (6) ANY ERRORS OR OMISSIONS IN ANY CONTENT AND MATERIALS OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES. WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICES, ANY HYPERLINKED WEBSITE, OR ANY WEBSITE OR MOBILE APPLICATION FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND WE WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND ANY THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE. NOTHING IN THIS SECTION 16 ELIMINATES EXPRESS OBLIGATIONS UNDERTAKEN BY NOVA RIDGE STUDIOS LLC IN A SEPARATE WRITTEN PROJECT AGREEMENT OR EXCLUDES LIABILITY THAT CANNOT LAWFULLY BE DISCLAIMED UNDER APPLICABLE LAW.
17. LIMITATIONS OF LIABILITY
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING OR THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC PROJECT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER. CERTAIN US STATE LAWS AND INTERNATIONAL LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS. NOTHING IN THIS SECTION 17 EXCLUDES OR LIMITS LIABILITY TO THE EXTENT SUCH EXCLUSION OR LIMITATION IS PROHIBITED BY APPLICABLE LAW.
18. INDEMNIFICATION
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your use of the Services; (2) breach of these Legal Terms; (3) any breach of your representations and warranties set forth in these Legal Terms, including representations regarding Client Materials; (4) your violation of the rights of a third party, including but not limited to intellectual property rights; or (5) your willful misconduct or violation of applicable law. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it. This indemnification obligation does not apply to the extent a claim arises from Nova Ridge Studios LLC’s own negligence, contractual breach, or willful misconduct.
19. USER DATA
We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although routine data handling procedures are utilized, you are responsible for maintaining copies of all data that you transmit or that relates to any activity you have undertaken using the Services. You agree that, except as required by applicable law or a separate written agreement, we shall have no liability to you for any loss or corruption of any such data. Following the transfer of a completed Framer project as described in Section 27, the client is responsible for maintaining and backing up their project content within their designated Framer account. Nova Ridge Studios LLC may retain a backup copy of completed project files for recordkeeping, recovery, or support purposes, subject to applicable confidentiality, intellectual property, and data protection obligations.
20. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Services, satisfy any legal requirement that such communication be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SERVICES. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means, subject to applicable law.
21. CALIFORNIA USERS AND RESIDENTS

22. MISCELLANEOUS
These Legal Terms and any policies or operating rules posted by us on the Services or in respect to the Services constitute the entire agreement and understanding between you and us regarding use of the public website. Where a client has executed or authorized a separate written project agreement with Nova Ridge Studios LLC, that separate agreement and these Legal Terms shall be read together, and the terms of the separate written project agreement shall control in the event of a direct conflict regarding that project. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision. These Legal Terms operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Legal Terms and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Legal Terms or use of the Services. You agree that these Legal Terms will not be construed against us by virtue of having drafted them. You hereby waive any and all defenses you may have based on the electronic form of these Legal Terms and the lack of signing by the parties hereto to execute these Legal Terms.
23. MANDATORY NOTICE, CURE PERIOD, AND STOCK ASSET DISCLAIMER
(a) Mandatory Notice and Cure Period: Prior to initiating any formal dispute, mediation, arbitration, or legal proceeding against Nova Ridge Studios LLC regarding any alleged website defect, content error, formatting issue, or potential copyright, trademark, or intellectual property violation, Client agrees to provide Nova Ridge Studios LLC with written notice specifically detailing the issue ("Notice of Dispute"). Nova Ridge Studios LLC shall have thirty (30) business days from receipt of such notice to review, correct, cure, or replace the material in question ("Cure Period"). Client agrees to provide Nova Ridge Studios LLC with the opportunity to investigate and cure the reported issue during the Cure Period before initiating legal action concerning that issue, except where immediate action is permitted or required by applicable law. If Nova Ridge Studios LLC fully cures the reported issue within the Cure Period, Client agrees not to pursue a claim against Nova Ridge Studios LLC solely for the corrected condition, provided that this provision does not waive claims for damages already incurred, unresolved violations, or rights and remedies that cannot lawfully be waived. If Nova Ridge Studios LLC fails to cure the reported issue within the Cure Period, Client may pursue any remedies available under the applicable agreement and law.
(b) Client-Supplied Content and Licensed Stock Assets: Client warrants that all text, slogans, graphics, photos, trademarks, and artwork provided to Nova Ridge Studios LLC for inclusion on the website are owned by Client or used with express permission. Nova Ridge Studios LLC utilizes stock imagery, icons, and font assets licensed through third-party platforms under standard commercial licenses. Nova Ridge Studios LLC shall not be liable for third-party copyright or trademark claims resulting from Client-supplied materials, uncredited client alterations, or third-party challenges to standard stock agency licenses, provided Nova Ridge Studios LLC assists in good-faith efforts to replace or remedy contested assets upon receiving written notification. Nothing in this subsection excludes responsibility for Nova Ridge Studios LLC’s own failure to obtain or comply with applicable licenses for stock assets selected or supplied by Nova Ridge Studios LLC, to the extent such responsibility is established under applicable law.
(c) Adobe Stock Licensing and Client Usage Rights: Nova Ridge Studios LLC may incorporate photographs, illustrations, graphics, and other stock assets licensed through Adobe Stock or comparable third-party licensing platforms into completed client website projects. Such assets remain the intellectual property of their respective rights holders. No copyright ownership in any third-party stock asset is transferred to the Client.
Where permitted by the applicable licensing provider and license type, Nova Ridge Studios LLC may purchase qualifying stock asset licenses on behalf of the Client for use in the Client's website project. For Adobe Stock assets licensed on behalf of the Client, the Client agrees to be bound by Adobe Stock's applicable licensing terms and restrictions, and authorizes Nova Ridge Studios LLC to obtain such licenses on the Client's behalf. Any such license is subject to the licensing provider's terms, including restrictions concerning permitted uses, redistribution, sublicensing, and additional licensing requirements. Nova Ridge Studios LLC shall not use assets licensed under plans or license types that prohibit client-project use.
Where an Adobe Stock license is purchased on behalf of the Client, the rights purchased shall belong to the Client in accordance with Adobe Stock's applicable terms and shall not simultaneously grant Nova Ridge Studios LLC independent rights to reuse that asset for other clients or unrelated projects. Nova Ridge Studios LLC shall obtain any additional licenses required for separate uses or additional client projects.
The Client may use properly licensed stock assets within the completed website and for other purposes expressly permitted by the applicable license. The Client shall not distribute stock assets as standalone files, resell or sublicense the assets independently, incorporate them into registered trademarks, or use them in merchandise, templates, or other applications exceeding the applicable license permissions without obtaining any required additional licenses or authorizations.
Following project delivery, the Client is responsible for ensuring that subsequent modifications, redistribution, or additional uses of stock assets comply with applicable licensing requirements. Nova Ridge Studios LLC will maintain reasonable records of stock assets licensed for Client projects and, upon reasonable written request, provide available asset identification or relevant licensing information.
Nothing in this subsection guarantees rights not granted by the applicable licensing provider, relieves Nova Ridge Studios LLC of responsibility for its own failure to obtain or comply with required licenses, or limits the notice-and-cure provisions of Section 23(a) to the extent enforceable under applicable law.
24. PROHIBITED CONDUCT & SITE INTEGRITY
Users agree not to scrape, reverse engineer, decompile, or copy any code, design elements, layouts, or proprietary content from this platform. Any unauthorized access, security breach attempt, or commercial exploitation of site assets without express written consent from Nova Ridge Studios LLC is strictly prohibited, without restricting ordinary lawful website browsing, standard search engine indexing, or standard accessibility tools operating in compliance with law.
25. WEBSITE ACCESSIBILITY
We are committed to making our website accessible to all users. Our accessibility efforts, known limitations, and contact procedures for reporting accessibility barriers are set forth in our Accessibility Statement (https://novaridgeweb.com/accessibility), which is incorporated into these Terms and Conditions by reference.
26. USER & CLIENT RESPONSIBILITY FOR LEGAL DOCUMENTS & COMPLIANCE
1. Independent Legal Responsibility: You acknowledge and agree that Nova Ridge Studios LLC provides website design, development, and technical integration services only. Nova Ridge Studios LLC is not a law firm and does not provide legal, tax, or regulatory advice. Any privacy policies, terms of service, cookie banners, accessibility features, or other legal and compliance documents integrated into websites built or hosted by Nova Ridge Studios LLC (including third-party embeds or templates) are implemented strictly at your direction and discretion.
2. Review and Verification: You are solely responsible for reviewing, editing, and verifying that all website policies, legal disclosures, and operational practices comply with all applicable local, state, federal, and international laws, rules, and regulations (including, but not limited to, GDPR, CCPA/CPRA, and ADA/accessibility requirements).
3. Indemnification & Hold Harmless: You agree to defend, indemnify, and hold harmless Nova Ridge Studios LLC, its owners, and contractors from and against any and all claims, liabilities, damages, fines, penalties, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
(a) The adequacy, accuracy, or legality of any legal documents, policies, or banners on your website;
(b) Any alleged privacy, data security, accessibility, or regulatory violations associated with your website or business operations;
(c) Any third-party claims or disputes resulting from your failure to comply with applicable laws.
This indemnification obligation does not apply to the extent a claim arises from Nova Ridge Studios LLC’s own negligence, contractual breach, or willful misconduct.
4. Scope of Responsibility: Nova Ridge Studios LLC is not responsible for legal, regulatory, or policy compliance decisions made by or belonging to the client solely because Nova Ridge Studios LLC provided design or technical integration services. Nothing in this Section 26 excludes or limits Nova Ridge Studios LLC’s responsibility for its own contractual breaches, negligence, or willful misconduct to the extent liability is established under applicable law.
27. STRIPE PAYMENT PROCESSING & PROJECT DEPOSITS
1. Third-Party Payment Processing: Nova Ridge Studios LLC utilizes Stripe, Inc. (“Stripe”) as its primary third-party payment processor for project invoices, deposits, final payments, and payments for additional services. Payments are processed through Stripe using payment links or invoices provided directly to clients, including links or invoices sent by email. By submitting a payment through Stripe, you acknowledge that your payment may also be subject to Stripe’s applicable terms and privacy policy. Nova Ridge Studios LLC does not collect, store, or process full payment card credentials on its own servers.
2. Initial Project Deposit: Unless otherwise stated in a written agreement, custom website design and development projects require an initial payment equal to fifty percent (50%) of the agreed project price before work begins. This initial payment constitutes a non-refundable project deposit. Work will not commence until the required deposit has been successfully received.
3. Project Completion, Final Review, and Final Payment: The remaining fifty percent (50%) of the agreed project price constitutes the final project balance and becomes due when Nova Ridge Studios LLC has completed the work included within the agreed project scope, subject to any applicable written project agreement. Before final payment and transfer, Nova Ridge Studios LLC will provide the client with a reasonable opportunity to review the completed website and identify reasonable corrections necessary to address material items from the agreed project scope that were omitted or not completed as agreed. Nova Ridge Studios LLC will make reasonable efforts to correct such items before requiring the final balance. The client’s approval of the completed website following this review confirms acceptance of the website as completed in accordance with the agreed project scope, subject to any obligations that cannot lawfully be waived. Following completion of the final review and any applicable agreed-scope corrections, the remaining project balance becomes due. Once the final balance has been paid, that payment is non-refundable except where otherwise required by applicable law.
4. Changes and Work Outside the Agreed Scope: Requests for additional pages, features, functionality, services, substantial redesigns, or other work that was not included within the originally agreed project scope are not considered corrections to incomplete work. Nova Ridge Studios LLC may require additional fees and the client’s written approval of those fees before performing out-of-scope work. A request for additional or out-of-scope work does not, by itself, postpone payment for work already completed under the original agreed project scope.
5. Final Delivery, Framer Transfer, and Handoff: Unless otherwise stated in writing, the final project balance must be successfully paid before final deliverables are released and the completed website project is transferred to the client. Following receipt of the full project balance, Nova Ridge Studios LLC will transfer the applicable Framer project to the client’s designated Framer account, provided such transfer is technically available and permitted by Framer. As part of the final handoff, Nova Ridge Studios LLC may provide reasonable assistance or guidance concerning initial setup matters, including connecting the client’s domain and reviewing or configuring social-preview settings, as applicable. Following completion of the transfer and final handoff, Nova Ridge Studios LLC will relinquish its Editor, Viewer, or other project access so that Nova Ridge Studios LLC no longer has access to the client’s Framer project, unless the client subsequently grants Nova Ridge Studios LLC access pursuant to a separately authorized additional service. Following transfer, the client is responsible for maintaining the client’s Framer account, applicable Site plan, domain, and other third-party services or fees necessary for continued operation of the website.
6. Failed Payments and Chargebacks: In the event of a failed payment, disputed payment, chargeback, or unpaid amount, Nova Ridge Studios LLC reserves the right, to the extent permitted by applicable law and any applicable written agreement, to pause project development, withhold unpaid deliverables, delay transfer of the completed website project, and/or suspend performance of any unpaid additional services until the payment issue has been resolved.
7. Project Inactivity and Abandonment: If a project is delayed or halted for more than thirty (30) consecutive calendar days due to the client’s failure to provide required assets, copy, credentials, feedback, approvals, or other information reasonably necessary to continue the project, Nova Ridge Studios LLC reserves the right to place the project on hold, archive active work files, and reallocate production schedule availability. Resuming an archived project may require a re-initialization fee, an updated project timeline, and written confirmation from the client before development resumes. Any applicable re-initialization fee will be disclosed to the client before the project is resumed.
8. Client Framer Account and Third-Party Platform Availability: Following transfer of the completed Framer project to the client, the client is solely responsible for maintaining and paying all fees associated with the client’s Framer account, applicable Framer Site plan, domain name or domain registration, and any other third-party subscriptions, services, integrations, or accounts necessary for or used in connection with the continued operation of the website, unless otherwise expressly agreed in writing. Such third-party fees are separate from and are not included in amounts paid to Nova Ridge Studios LLC, and Nova Ridge Studios LLC is not responsible for paying, renewing, or maintaining such third-party subscriptions, services, accounts, or fees. Nova Ridge Studios LLC does not control the pricing, availability, functionality, policies, or continued operation of Framer or other third-party services. Such platforms may experience outages, service discontinuation, data loss, storage limitations, account or infrastructure changes, technical failures, pricing changes, feature changes, or other circumstances outside Nova Ridge Studios LLC’s reasonable control. To the extent permitted by applicable law, Nova Ridge Studios LLC shall not be responsible or liable for loss, deletion, corruption, unavailability, inability to restore client website data, or interruption of website operation resulting solely from failures, changes, actions, or omissions of Framer or another third-party provider that are outside Nova Ridge Studios LLC’s reasonable control.
9. Future Website Add-Ons and Additional Services: Requests made after completion and transfer of the original project for additional pages, features, functionality, integrations, redesigns, content, updates, assistance, or other services that were not included within the original project scope will be treated as separate additional services. Pricing for additional services is not fixed unless expressly stated in writing and may vary depending on the nature, complexity, scope, and requirements of the requested work. Before Nova Ridge Studios LLC begins such work, Nova Ridge Studios LLC and the client will agree in writing to the applicable scope and price, and the client will provide written authorization for the additional services. Where access to the client’s Framer project is necessary, the client will grant Nova Ridge Studios LLC the access or permissions reasonably necessary to perform the authorized work. The applicable written authorization may identify the date access or work begins and, where practicable, the date or event upon which the authorized work is considered completed. Upon completion of the authorized additional services, Nova Ridge Studios LLC will relinquish its project access unless the parties otherwise expressly agree in writing.
10. Post-Transfer Control, Changes, and Responsibility: Following completion of the Framer project transfer and Nova Ridge Studios LLC’s relinquishment of project access, the client assumes control of the Framer project and responsibility for managing project access, account settings, publishing activity, and subsequent modifications to the website. The client is responsible for modifications, additions, deletions, content changes, publishing activity, settings changes, access permissions, or other actions performed by the client or by third parties to whom the client grants access. To the extent permitted by applicable law, Nova Ridge Studios LLC shall not be responsible or liable for defects, errors, losses, content, functionality issues, website downtime, or other problems caused by modifications, actions, omissions, account changes, or other activity occurring after Nova Ridge Studios LLC has relinquished access that were not performed or authorized by Nova Ridge Studios LLC. If the client subsequently grants Nova Ridge Studios LLC access for separately authorized additional services, Nova Ridge Studios LLC remains responsible for performing the work it expressly agrees to perform within the applicable agreed scope. Upon completion of that authorized work and Nova Ridge Studios LLC’s relinquishment of access, responsibility for subsequent changes not performed or authorized by Nova Ridge Studios LLC remains with the client.
28. AI & THIRD-PARTY TECHNOLOGY DISCLAIMER
Nova Ridge Studios LLC utilizes professional design platforms and third-party software, including Framer and integrated generative artificial intelligence (AI) features, to assist in site layout, prototyping, or code generation. Client acknowledges that AI-generated elements are provided on an "as is" basis. Nova Ridge Studios LLC reviews and customizes project deliverables within the agreed scope of services, while the Client remains responsible for reviewing and approving the accuracy and suitability of website content. Nova Ridge Studios LLC makes no warranties regarding the copyrightability of pure AI-generated outputs and shall not be liable for outages, code changes, or service interruptions caused by third-party hosting platforms or software engines (including Framer).
29. PORTFOLIO & MARKETING RIGHTS
Client agrees that Nova Ridge Studios LLC retains the right to showcase the completed, publicly launched website, design assets, branding deliverables, and project case studies in Nova Ridge Studios LLC’s public portfolio, website, marketing materials, social media channels, and award submissions. Nova Ridge Studios LLC is granted a non-exclusive, royalty-free, worldwide license to display screenshots, live public site previews, and video demonstrations of the final project upon public launch. This provision does not grant Nova Ridge Studios LLC ownership of client branding, logos, or trademarks, nor does it authorize the publication of unreleased confidential client business information. Any promotional use of third-party materials incorporated into a completed project remains subject to applicable third-party license terms and restrictions. If the Client requires confidentiality or restrictions on promotional use of the project, the Client should notify Nova Ridge Studios LLC in writing. Nova Ridge Studios LLC will honor any applicable written confidentiality or promotional-use restrictions agreed upon by the parties, including restrictions that continue after the website's public launch.
